Drafting a License Agreement in Uzbekistan: License Types, Essential Terms, and Registration Procedure
A rights holder transferred a trademark to a partner based on a verbal agreement. A year later, the partner registered the mark in their own name. Sound familiar? Without a properly executed license agreement, the rights holder loses control over their intellectual property, and the licensee loses the right to lawful use. Drafting a license agreement in Uzbekistan requires compliance with the Civil Code and mandatory registration with the Intellectual Property Agency. An error at any stage can render the agreement void.
Our team in Tashkent specializes in contract law in the field of intellectual property. Every year, we draft and register more than sixty license agreements: from simple trademark licenses to complex multi-level sublicensing structures. Every agreement undergoes mandatory legal review before submission for registration.
Types of License Agreements: Choosing the Right Model
The legislation of Uzbekistan provides for three main licensing models. The choice of model determines the scope of the licensee's rights, the level of the rights holder's control, and the commercial value of the agreement.
- Exclusive license. The rights holder transfers the right to use the object to a single licensee and undertakes not to grant similar rights to other persons and not to use the object independently. This is the most expensive model, suitable for strategic partnerships and exclusive distribution.
- Non-exclusive license. The rights holder retains the right to grant licenses to an unlimited number of persons and to use the object independently. This model is suitable for mass licensing: franchises, software products, and media content.
- Sole license. The rights holder grants a license to a single licensee but retains the right to use the object independently. An intermediate model combining elements of the two previous types.
The choice of model depends on the commercial strategy. Our lawyer analyzes the parties' business objectives and recommends a structure that protects the rights holder's interests while providing the licensee with the necessary authority.
Essential Terms: Without Which the Agreement Is Void
The Civil Code of the Republic of Uzbekistan establishes a list of essential terms of a license agreement. The absence of at least one of them renders the agreement unconcluded and registration impossible.
- Subject matter of the agreement. Specific identification of the intellectual property object: trademark registration number, patent number, or title of the work. Vague formulations such as "all rights to the brand" are not accepted by the Agency.
- Scope of transferred rights. A list of specific methods of use: manufacturing, sale, import, online placement, sublicensing. Each method is specified individually.
- Territory of effect. Geographical limits of use: the territory of Uzbekistan, a specific region, or international territory. If the territory is not specified, the license is effective only within Uzbekistan.
- Term of validity. The period for which the license is granted. The term cannot exceed the validity period of the protection document. If no term is specified, the agreement is deemed concluded for five years.
- Amount and procedure for payment of remuneration. A fixed amount, a percentage of revenue, a combined model, or a royalty-free license. The procedure and payment schedule are specified in the agreement.
Additional Terms That Protect the Rights Holder
In addition to essential terms, a well-drafted license agreement includes protective mechanisms. These provisions are what distinguish a professionally drafted document from a template agreement found online.
- Quality control. The rights holder has the right to verify the quality of the licensee's goods and services. The control mechanism is specified in the agreement: inspection frequency, criteria, and consequences of non-compliance.
- Prohibition on sublicensing. If the rights holder does not want the licensee to transfer rights to third parties, a direct prohibition is included in the agreement. Without this provision, sublicensing is permitted by default.
- Licensee reporting. The licensee's obligation to provide regular reports on usage volumes, revenue, and accrued payments. The frequency and format of reports are specified in the agreement.
- Early termination conditions. Grounds for unilateral termination of the agreement: non-payment of remuneration, breach of usage conditions, decline in product quality. Notification procedure and termination deadlines.
- Penalties and damages. The amount of penalties for breach of agreement terms, the procedure for calculating damages, and the dispute resolution mechanism.
- Post-termination usage procedure. The period for selling remaining stock, prohibition on using the designation after license termination, and the obligation to remove marks from signage and packaging.
Registration of the License Agreement: Procedure and Timelines
A license agreement for the use of a trademark, patent, or other protected object is subject to mandatory registration with the Intellectual Property Agency of the Republic of Uzbekistan. Without registration, the agreement does not produce legal effects for third parties and cannot be used as evidence in court.
- Preparation of the document package. We prepare the registration application, two copies of the agreement, representatives' powers of attorney, a copy of the protection document, and confirmation of fee payment.
- Submission to the Agency. We submit the documents to the Intellectual Property Agency in Tashkent. We verify completeness and accuracy of the documentation before submission.
- Examination. The Agency conducts a formal examination of the submitted documents. If objections are raised, we prepare reasoned responses within the prescribed deadline.
- Obtaining the registration certificate. Following a positive decision, we obtain a certificate confirming registration of the license agreement. From this moment, the agreement acquires full legal force.
The registration period is one to two months. If objections are raised, the process may extend to three or four months. Our team ensures registration within the shortest possible timeframe through preliminary document review and prompt communication with the Agency's examiners.
Common Mistakes When Drafting License Agreements
Practice shows that more than forty percent of license agreements submitted for registration without legal support receive objections or refusals. The following are the most common errors.
- Absence of a specific list of goods and services. A trademark license must specify the particular classes of the International Classification for which the right to use is granted. A general formulation such as "for all goods" is rejected.
- Undefined remuneration amount. The formulation "by agreement of the parties" is not an acceptable term. The amount or calculation method must be specified in the text of the agreement.
- Exceeding the term of the protection document. A license cannot remain in effect longer than the trademark registration certificate. If the certificate expires in three years, a five-year license will be rejected.
- Failure to specify the type of license. If it is not indicated whether the license is exclusive or non-exclusive, the agreement is deemed concluded on non-exclusive license terms. This may contradict the parties' intentions.
- Ignoring the registration requirement. The parties sign the agreement and begin use without registering it. In the event of a dispute, an unregistered agreement is not accepted by the court as evidence.
Sublicense Agreements: Transferring Rights to Third Parties
When the licensee plans to transfer the right to use to third parties, a sublicense agreement is executed. Sublicensing is permitted only with the express authorization of the main license agreement and with the rights holder's consent.
Our lawyer drafts sublicensing agreements that preserve the original rights holder's control at every level. We specify the scope of the sublicensee's rights, prohibit further transfer, mandate compliance with quality standards, and establish liability for violations.
International License Agreements: Specifics of Cross-Border Transactions
When the rights holder is located outside Uzbekistan, the license agreement takes on an international character. Such agreements require consideration of additional factors: applicable law, payment currency, dispute resolution procedure, and the tax regime for royalties.
We draft international license agreements taking into account the norms of Uzbekistan's international private law and bilateral agreements for the avoidance of double taxation. We ensure the agreement's compliance with foreign exchange regulations and monitor the registration procedure.
Why Companies in Uzbekistan Trust Us with License Agreements
A license agreement is not a template document. Every transaction is unique: different objects, different business models, different risk levels. A template from the internet does not account for the specifics of a particular transaction and creates vulnerabilities that surface at the moment of dispute.
- Focused specialization. We work exclusively with intellectual property and contract law. Each member of our team drafts at least sixty license agreements annually.
- Knowledge of Agency requirements. We work with the Intellectual Property Agency in Tashkent on a daily basis. We understand current examiner requirements, common grounds for refusal, and the examination procedure.
- Protection of both parties. We draft agreements that protect the rights holder's interests while simultaneously providing the licensee with the necessary authority to conduct business. A balanced document reduces the risk of future disputes.
- Full cycle. From negotiations and text development to registration and compliance monitoring. One dedicated manager supports the transaction at every stage.
- Transparent pricing. The fee is fixed before work begins. The cost includes drafting the agreement, legal review, and registration support.
