Simplified Bankruptcy Procedure for Legal Entities in Uzbekistan: How to Close an Inactive Company
A company has not conducted business for three years. Reports have not been filed, employees have been dismissed, and the office is closed. Yet the legal entity continues to exist: it remains in the register, accumulates penalties for unfiled reports, and the tax authority accrues mandatory payments. The owner cannot register a new business, open an account, or become a participant in another company. The simplified bankruptcy procedure for legal entities is a lawful tool that allows such a legal entity to be terminated within six months without the full cycle of supervision and external administration.
Our team in Tashkent specializes in supporting business termination procedures. Every year, we close more than twenty inactive companies through simplified mechanisms, ensuring complete release of obligations for founders and directors.
When the Simplified Bankruptcy Procedure Applies
Uzbek legislation provides for the simplified procedure for two categories of debtors. Understanding the grounds for application allows you to choose the correct mechanism.
- Debtor in liquidation. The company is in the process of voluntary liquidation, but during the work of the liquidation commission it became clear that assets are insufficient to settle with all creditors. The liquidation commission is obligated to file a petition for the debtor to be declared bankrupt under the simplified procedure.
- Absent debtor. The legal entity does not actually conduct business: it does not file reports, does not conduct account transactions, and has no employees. At the same time, the company has unfulfilled obligations to creditors or the budget.
Differences Between the Simplified Procedure and Full Bankruptcy
The simplified procedure eliminates the longest and most expensive stages of standard bankruptcy. This significantly reduces timeframes and costs.
- No supervision stage. The court does not introduce supervision and does not appoint a provisional administrator to analyze the financial condition. The procedure begins directly with liquidation proceedings.
- No external administration stage. No financial rehabilitation plan is developed and no attempts to restore solvency are made. The goal of the procedure is not to save the business but to terminate its existence.
- Shortened timeframes. The total duration of the simplified procedure is four to six months, compared to one to two years for full bankruptcy.
- Lower costs. There are no costs for a provisional administrator, financial analysis, or development of a rehabilitation plan.
Step-by-Step Simplified Bankruptcy Procedure
- Preparation of the application. We prepare an application for the debtor to be declared bankrupt, attaching financial statements, a list of creditors, an inventory of property, and justification of the inability to fulfill obligations.
- Filing with the commercial court of Tashkent. We file the application at the debtor's location. We pay the state fee. If necessary, we deposit funds with the court to finance the proceedings.
- Initiation of the case and appointment of a liquidation administrator. The court accepts the application and immediately introduces liquidation proceedings, bypassing supervision. A liquidation administrator is appointed.
- Publication and formation of the claims register. The administrator publishes a bankruptcy notice, and creditors file claims within the prescribed period. A register of creditors' claims is formed.
- Sale of property and settlement with creditors. The administrator forms the bankruptcy estate, sells available property, and settles with creditors in order of priority.
- Completion of the procedure and liquidation. After settlements are completed, the administrator submits a report to the court. The court issues a ruling completing the procedure and liquidating the legal entity. The entry is made in the register, and the company ceases to exist.
Protecting Founders and the Director During the Simplified Procedure
Even under the simplified procedure, the risk of subsidiary liability remains. Creditors or the administrator may claim that the director's actions led to insolvency. We build preventive protection:
- We audit transactions over the previous three years before filing the application.
- We document the moment when the company's actual business activity ceased.
- We build an evidentiary record that the failure to file a bankruptcy application was not intentional.
- We challenge unfounded creditor claims filed after the deadline.
- We monitor the actions of the liquidation administrator at every stage.
